Dispute resolution and governing law. These Terms of Service and any dispute arising out of or related to our digital services shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict-of-law principles, except where consumer protection laws in your place of residence require otherwise.

Agreement to arbitrate. You and Croodi LLC agree that all disputes, claims, or controversies arising out of or relating to these Terms, the use of the website, or the digital services provided, shall be resolved exclusively through binding individual arbitration.
By agreeing to these Terms, you are giving up your right to go to court to assert or defend your rights under this contract. You also explicitly waive your right to a trial by jury.
Arbitration procedures and venue. The arbitration shall be administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The Federal Arbitration Act governs the interpretation and enforcement of this section.
- Location: The arbitration shall take place in Middlesex County, New Jersey, or may be conducted virtually by mutual agreement.
- Costs: Payment of filing, administration, and arbitrator fees will be governed by the AAA's rules. Croodi LLC will reimburse those fees for claims totaling less than USD $10,000 unless the arbitrator determines the claims are frivolous.
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property or prevent unauthorized access, without first submitting that limited request to arbitration.
Class action waiver: You and Croodi LLC agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.
30-day opt-out right. You may opt out of this mandatory arbitration agreement within thirty (30) days of first using the website or purchasing our services. To opt out, send a clear written notice to croodihelp@gmail.com that includes your full name and a statement that you wish to opt out of the arbitration provision. If you opt out, the governing law above still applies; disputes may be brought in courts located in New Jersey where permitted by law.
